Clear policies and agreements for working with Nextab

Welcome to Nextab. By engaging our services, you agree to these terms. We've made them clear and straightforward so you know exactly what to expect when working with us.
1. Services Overview
Nextab provides professional web development services including but not limited to:
- Full-Stack Web Development: Custom web applications built with modern frameworks (React, Next.js, Node.js, TypeScript)
- Server Management & Deployment: Server setup, configuration, automation, and ongoing maintenance
- Payment Integration: Implementation of payment gateways including Stripe, PayPal, Flutterwave, and Paystack
- Website Optimization: Performance improvements, SEO optimization, and speed enhancements
- Bug Fixes & Maintenance: Troubleshooting, debugging, and ongoing technical support
- API Development & Integration: Custom API development and third-party service integrations
- Database Design & Management: Database architecture, optimization, and management
2. Project Workflow
2.1 Initial Consultation
All projects begin with a consultation to understand your requirements. We'll discuss scope, timeline, budget, and technical specifications. This consultation is free and carries no obligation.
2.2 Proposal & Agreement
After consultation, we provide a detailed proposal including:
- Project scope and deliverables
- Timeline and milestones
- Total cost and payment schedule
- Technical stack and approach
- Post-launch support terms
2.3 Development Process
Once agreement is reached and initial payment is received, we begin development. You'll receive regular updates and have opportunities to review progress at agreed milestones.
2.4 Delivery & Launch
Upon completion, we deliver the final product with full documentation, source code, and deployment assistance. We provide training on how to use and maintain your new system if required.
3. Payment Terms
3.1 Payment Structure
Payment terms vary based on project size and duration:
- Small Projects (Under $500): 50% upfront, 50% upon completion
- Medium Projects ($500 - $2,000): 40% upfront, 30% at midpoint, 30% upon completion
- Large Projects (Over $2,000): Custom payment milestones agreed in writing
- Hourly Consulting: Billed weekly or monthly depending on engagement
- Ongoing Maintenance: Monthly retainer or pay-per-incident
3.2 Accepted Payment Methods
We accept the following payment methods:
- Bank transfer (preferred for Nigerian clients)
- International wire transfer
- PayPal (additional 5% processing fee applies)
- Cryptocurrency (Bitcoin, USDT - additional 3% processing fee)
- Fiverr platform payments (for projects initiated through Fiverr)
3.3 Payment Schedule
Payments are due within 3 business days of invoice issuance unless otherwise agreed. Late payments may result in project delays and incur a 5% late fee after 7 days.
3.4 Currency
All prices are quoted in US Dollars (USD) unless otherwise specified. For Nigerian clients, we can provide quotes in Nigerian Naira (NGN) at current exchange rates.
4. Refund Policy
4.1 Satisfaction Guarantee
We stand behind our work. If you're not satisfied with the deliverables, we'll work with you to make it right through revisions at no additional cost, provided the requests are within the original project scope.
4.2 Refund Eligibility
Refunds may be issued in the following circumstances:
- Before Work Begins: Full refund of upfront payment if we haven't started development
- Early Cancellation: Prorated refund based on work completed, minus a 20% administrative fee
- Non-Delivery: Full refund if we fail to deliver within agreed timeline without valid reason
- Technical Impossibility: Full refund if project requirements prove technically unfeasible
4.3 Non-Refundable Items
The following are non-refundable:
- Work already completed and delivered
- Third-party costs (domain registration, hosting, API subscriptions, etc.)
- Payments for projects completed and accepted by client
- Change of mind after project acceptance
- Consulting sessions already conducted
4.4 Refund Process
Refund requests must be submitted in writing via email to hello@nextab.dev. We will respond within 3 business days. Approved refunds are processed within 7-10 business days to the original payment method.
5. Intellectual Property & Ownership
5.1 Code Ownership
Upon full payment, you own all custom code developed specifically for your project. This includes source code, databases, and project files. We transfer all rights and ownership to you.
5.2 Third-Party Components
Projects may include third-party libraries, frameworks, and tools (React, Next.js, etc.). These remain under their original licenses. We provide documentation of all dependencies.
5.3 Nextab's Rights
We retain the right to use general methodologies, techniques, and approaches developed during your project for future work. We may showcase your project in our portfolio unless you request otherwise in writing.
5.4 Confidentiality
We treat all project information as confidential. We will not disclose your business logic, proprietary information, or sensitive data to third parties without your explicit consent.
6. Warranties & Limitations
6.1 Quality Assurance
We guarantee that all delivered work is:
- Free of critical bugs and errors at time of delivery
- Built according to industry best practices
- Tested across specified browsers and devices
- Compliant with agreed technical specifications
6.2 Warranty Period
We provide a 30-day warranty on all delivered work. During this period, we'll fix any bugs or issues that arise from our code at no additional cost. This warranty covers defects in our work, not changes in requirements or third-party service issues.
6.3 Limitations
We are not responsible for:
- Issues caused by modifications made by you or third parties after delivery
- Problems arising from hosting provider outages or limitations
- Third-party API or service failures
- Browser or device compatibility issues not specified in original requirements
- Force majeure events (natural disasters, government actions, etc.)
6.4 Liability Cap
Our total liability for any project is limited to the total amount paid for that specific project. We are not liable for indirect, consequential, or incidental damages including lost profits or business opportunities.
7. Client Responsibilities
To ensure project success, clients are responsible for:
- Timely Communication: Responding to requests for feedback, approvals, and information within agreed timeframes
- Access Provision: Providing necessary access to servers, APIs, accounts, and resources required for development
- Content Delivery: Supplying all required content (text, images, videos) in appropriate formats
- Decision Making: Making timely decisions on design, functionality, and scope questions
- Payment: Making payments according to agreed schedule
- Testing & Feedback: Thoroughly testing deliverables and providing constructive feedback
Delays caused by client non-responsiveness may result in extended project timelines. We reserve the right to pause work if payments are overdue or required information is not provided.
8. Scope Changes & Additional Work
8.1 Change Requests
Changes to project scope after work has begun will be evaluated and may incur additional costs. We'll provide a written estimate for any scope changes before proceeding.
8.2 Minor Revisions
Most projects include 2-3 rounds of minor revisions within the original scope. Additional revision rounds may incur hourly charges.
8.3 Additional Features
Features or functionality not included in the original scope will be quoted separately and require approval before implementation.
9. Termination
9.1 Client Termination
Clients may terminate projects with 7 days written notice. Upon termination, client pays for all work completed to date plus 20% of remaining contract value as cancellation fee.
9.2 Nextab Termination
We reserve the right to terminate projects if:
- Payments are more than 14 days overdue
- Client consistently fails to provide necessary information or feedback
- Client requests violate laws or ethical standards
- Working relationship becomes untenable
9.3 Post-Termination
Upon termination, we will deliver all completed work and source code. Client receives rights to work completed and paid for. Refund policy (Section 4) applies to any eligible amounts.
10. Post-Launch Support & Maintenance
10.1 Included Support
All projects include 30 days of post-launch support for bug fixes and technical issues related to our delivered work.
10.2 Extended Support Options
- Monthly Retainer: Ongoing support and maintenance with allocated monthly hours
- Pay-Per-Incident: Charged hourly for specific issues or updates as they arise
- Emergency Support: Priority response with premium rates for critical issues
10.3 Response Times
Under active support agreements:
- Critical Issues: 2-4 hour response time
- High Priority: 24-48 hour response time
- Normal Priority: 3-5 business day response time
11. Dispute Resolution
11.1 Good Faith Resolution
We believe in resolving issues through direct communication. If you have concerns, please contact us at hello@nextab.dev and we'll work together to find a solution.
11.2 Mediation
If direct resolution fails, parties agree to attempt mediation before pursuing legal action. We'll jointly select a neutral mediator.
11.3 Governing Law
These terms are governed by the laws of Nigeria. For international clients, disputes shall be resolved under Nigerian law or the laws of the client's jurisdiction as mutually agreed.
12. General Provisions
12.1 Independent Contractor
Nextab operates as an independent contractor. Nothing in these terms creates an employment, partnership, or agency relationship.
12.2 Entire Agreement
These terms, together with any written proposal or statement of work, constitute the entire agreement between parties and supersede all prior discussions or agreements.
12.3 Severability
If any provision is found unenforceable, the remaining provisions continue in full effect.
12.4 Updates to Terms
We may update these terms occasionally. Material changes will be communicated to active clients. Continued engagement constitutes acceptance of updated terms.
